Amazon Chose a Full Buyout for Decart. The Regulatory Calculus Explains Why.

Markets don’t need a technology story here. They need an antitrust one.

The Wall Street Journal reported Sunday that Amazon is negotiating to acquire Israeli AI startup Decart in a deal valued at approximately $7 billion. This would be one of Amazon’s largest AI acquisition attempts on record, but it would not eclipse the roughly $11.6 billion Globalstar acquisition Amazon announced in April 2026. The structure matters as much as the size: a clean, outright purchase, not the acqui-hire model Amazon deployed with Adept in June 2024, which drew Senate scrutiny because it was structured to avoid mandatory HSR filings.

That earlier structure drew a pointed Senate letter urging the FTC and DOJ to investigate, arguing Amazon “essentially did a reverse acqui-hire” that “allowed them to avoid required filing processes.” A $7 billion full acquisition goes in the opposite direction. It is visible, HSR-triggering, and politically legible, arriving at a moment when Amazon’s FTC monopolization case is on the calendar for a February 9, 2027 bench trial. Transparency, in this environment, is a form of defense.

What Amazon Is Actually Buying

Decart has developed software that makes it easier for developers to run their AI models on different processors, a capability that has taken on outsized strategic value as hyperscalers race to reduce dependence on Nvidia’s GPU stack. Its main product is the Decart Optimization Stack, or DOS, a software layer that improves how AI models perform across different hardware. DOS works across Nvidia GPUs, Google’s TPUs, and Amazon’s own Trainium chips.

Decart was one of the first companies to show performance gains running its model on Amazon’s chips instead of Nvidia’s. Until recently it ran entirely on Nvidia GPUs, but after an Amazon representative approached founder Dean Leitersdorf at a conference, the company agreed to test Trainium. The results exceeded expectations. Amazon is paying a premium after Decart pushed real-time video from 26 fps on GPUs to roughly 101 fps on Trainium, a result that directly validates the Trainium silicon strategy in production, not on paper.

Decart most recently raised $300 million at a $4 billion valuation in May 2026, bringing total funding to roughly the mid-$400 million range. Its main investors include Radical Ventures, Nvidia, Adobe Ventures, Sequoia Capital, and Benchmark. Nvidia’s presence on the cap table is worth noting: Amazon is effectively acquiring a company its largest chip competitor helped fund, and absorbing its cross-chip portability software into an AWS silicon stack designed to reduce Nvidia dependence.

Two ways this plays out. Both move gold the same direction.

You cannot opt out of monetary policy. Nobody in America can. What you really can decide is how much of your retirement savings stays denominated in a unit that somebody else’s policy controls. That is a choice most Americans have never consciously made, largely because nobody has ever presented it to them as one. The free Reagan Gold Group guide presents it clearly and shows exactly how all of the mechanics work.

The Competitive Auction and What It Signals

Anthropic reportedly weighed a deal earlier in 2026, then walked away after due diligence in September. Amazon’s willingness to pursue a $7 billion deal signals the high stakes attributed to AI startups that can accelerate cloud and machine learning services. Decart has already seen multiple suitors walk away from the table this year, which gives the current talks a competitive intensity that supports the elevated valuation.

In its Q2 2026 earnings call, Andy Jassy said Amazon’s chips business had passed an annual revenue run rate of more than $25 billion across Trainium, Graviton, and Nitro combined. DOS plugs the software gap that remains Trainium’s primary competitive disadvantage against Nvidia’s CUDA ecosystem.

Options Market Analysis

AMZN carries an IV rank around the mid-50s, with 30-day ATM implied volatility around 39%. The October 29 earnings report is widely expected but not yet confirmed by the company, so implied volatility may stay bid into the date and drop sharply once it passes. The market has priced in an earnings reaction of plus or minus 6.85%, or approximately $17.67. The Put/Call open-interest ratio reads near 0.69, a call-heavy posture consistent with a market still leaning constructive on the AWS growth story.

With IV rank elevated and a dual catalyst environment, defined-risk structures carry more appeal than naked exposure in either direction.

Structured Trade Framework

Bull case: If you believe the Decart deal closes and the AWS silicon story accelerates into Q3 earnings, a November call spread centered around $270/$285 captures upside while capping premium outlay into an elevated-IV environment. Keep width proportional to the expected move.

While investors chase the next tech story, one long-ignored sector is quietly heating up. A mix of global policy, rising demand, and tightening supply could reignite this market before 2026. See what the latest research reveals.

Bear case: For traders expecting deal collapse or a post-earnings fade, a defined-risk put spread below $250 limits tail exposure while expressing a thesis on valuation compression at a P/S ratio near its three-year high of 4.0.

Neutral case: A short iron condor straddling the expected move, sold after any Decart-related IV spike, targets mean-reversion if the market absorbs the acquisition story without a sustained directional break.

Risk Analysis and Forward Outlook

A deal could come together soon, provided the talks don’t collapse and another contender doesn’t make an offer. Integration risk is real: DOS is a lean, roughly 60-person operation, and embedding cross-chip portability software into AWS’s existing Neuron SDK layer without disrupting Trainium commitments requires execution that Amazon’s past acqui-hire approach was never tested against at this scale.

The antitrust filing itself will arrive. An HSR notification means a mandatory waiting period, DOJ and FTC review, and the possibility of a second request. Amazon is navigating that review while its FTC monopolization case proceeds toward a February 9, 2027 trial date. The regulatory calendar is not empty.

Action Checklist

  • Monitor AMZN price action around the expected October 29 earnings date. Consensus EPS sits near $1.96; Q2 delivered $5.75 against a $1.82 estimate, a beat driven heavily by gains on its Anthropic stake.
  • Watch for HSR filing confirmation as a deal-closure signal. Its absence beyond two weeks likely indicates negotiations stalled.
  • Assess NVDA for second-order impact: Decart’s DOS erodes the “CUDA lock-in” argument at the margin; any guidance revision from AWS on Trainium ramp pace is a direct NVDA data point.
  • Size defined-risk structures to the $17.67 expected move. Selling premium into elevated IV before a binary event requires width discipline.
  • Track whether a rival bid emerges. Decart has drawn multiple suitors this year. The auction is not necessarily over.
